The Business Group is experienced in enterprise organizational matters,
including selection of entity issues, corporate finance issues including
compliance with Federal Securities Act, Securities Exchange Act, and
state Blue Sky Laws and Regulations, structuring capital investments,
ownership arrangements and less conventional multiple party ventures.
Our group represents numerous clients in mergers and other acquisitions
on either side of the transaction. Our attorneys in the business group
are skilled in the preparation and development of diverse agreements
needed by clients in the normal course of their business activities and
in the financing of their capital requirements and approach such
transactions with sensitivity to the client’s business and practical
